摘要:面临复杂的外部环境,在汽车行业经济全球化的趋势下,均胜安全系统公司的高层逐步探索并购之路,先后并购了美国KSS公司和日本高田。本案例详尽讲述了公司如何顺势而为,制定并购决策,解决并购过程中遇到的问题。具体来说,均胜安全经过汽车安全行业分析及产品竞争分析,做出了并购高田的决策。在融合的过程中,由于高田本身有近百年历史,加上跨文化差异,致使企业管理出现生产方面、文化方面的难题。对此,均胜安全重新调整了战略和管理流程以加强不同文化之间的融合,实现企业的可持续发展。本案例对于企业并购过程中遇到的文化冲突、文化融合等难题有一定的参考意义。

Joyson Safety: International Mergers and Acquisitions, Cultural Integration Development
Abstract: Faced with the complex external environment and the trend of economic globalization in the automobile industry, the senior management of Joyson Safety System Company gradually explored the road of merger and acquisition, and successively acquired KSS Company in the United States and Takata in Japan. This case describes in detail how the company to take advantage of the situation, make M&A decisions, and solve the problems encountered in the process of M&A. Specifically, Joyson Safety made the decision to acquire Takata after analyzing the auto safety industry and product competition. In the process of integration, Takata itself has a history of nearly 100 years and cross-cultural differences lead to difficulties in production and culture in enterprise management. In response, Joyson Security readjusted its strategy and management process to strengthen the integration between different cultures to achieve sustainable development. This case has certain reference significance for the cultural conflicts and cultural integration problems encountered in the process of enterprise merger and acquisition.
